The Purchase Place Rules and Terms of Service 

Please read the following rules carefully. To be eligible to participate, you must agree to and abide by The Purchase Place Rules and Terms of Service. By clicking on the "I agree" button below, you are acknowledging, just as if you signed a written contract, that you have read The Purchase Place Rules and Terms of Service in their entirety and agree to abide by them. 

No purchase necessary 

1. ELIGIBILITY 
Sweepstakes is offered only in the United States to legal Black Hills area residents at least 18 years old as of the date of entry. Employees and directors of The Purchase Place are not eligible. By entering, you agree to these Official Rules and the decisions made by The Purchase Place. 

2. PROMOTIONAL PERIOD 
Promotional period begins Tuesday a.m. Mountain Time (MT), and ends on the following Monday at 11:00 p.m. Mountain Time (MT). There will be one drawing/winner per week. Sponsor, however, reserves the right to terminate the promotion by giving notice, deemed appropriate by Sponsor. 

3. ENTRY 
(a): To enter by Internet, follow instructions given on the Home page of “thepurchaseplace.com”. Complete the registration form for the drawings by filling out your full name, complete home address, including zip code, home telephone number (including area code), date of birth, gender, email address, and follow the instructions at the web site. Any other attempt at Internet or email entry is void. Only one E-mail address per individual per week will be accepted. Only one entry per individual accepted per drawing. 

4. DRAWING 
All winners for any drawing will be selected by random drawing from all eligible entries received for that drawing. There will be one drawing for each week from all eligible entries received for that week. To be eligible for a weekly drawing, Internet entries must be received between 12:00 a.m. MT on Tuesday and 10:59:59 p.m. ET on the following Monday. Winners will not be eligible to win again for 30 days past their winning entry. 

5. PRIZE/ODDS 
Odds are based on the number of eligible entries received during the drawing week. Prize is advertised on The Purchase Place Website for that week and is subject to change weekly. 

6. GENERAL CONDITIONS 
If prize notification or prize is returned as non-deliverable, this may result in disqualification with an alternate winner selected. By accepting prize, where permitted by law, winner agrees to grant to Sponsor, The Purchase Place, and its licensees, affiliates and assigns, the right to print, publish, broadcast and use, worldwide in any media now known or hereafter developed, including but not limited to the world wide web, at any time or times, the winner's name, portrait, picture, voice, likeness and biographical information as news or information and for advertising and promotional purposes without additional consideration; and further without such additional compensation, appear for any presentation or other activity which may include filming/audio/video/electronic or other recordings and/or interviews, as may be determined from time to time by Sponsor. Further, by accepting a prize, each winner agrees to release and hold harmless Sponsor, The Purchase Place, its licensees, The Marketing Centre, Sapient Corporation, their parents, affiliates, subsidiaries, advertising and promotion agencies and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a prize, participation in any Sweepstakes related activity, or participation in this Sweepstakes. Void where prohibited. 

Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Sweepstakes or web site; to be in violation of the Terms of Service of the web site, to be acting in violation of the Official Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any use of robotic, automatic, programmed or like entry methods will void all such entries by such methods. In the event of a dispute as to entry submitted by multiple users having the same email account, the authorized subscriber of the email account used to enter the Sweepstakes at the actual time of entry will be deemed to be the participant and must comply with these rules. Sponsor will prosecute any fraudulent activities to the full extent of the law. 

Authorized account subscriber is deemed to be the natural person who is assigned an email address by an Internet access provider, on line service provider or other organization which is responsible for assigning email addresses or the domain associated with the submitted email address. 

7. LIMITATIONS OF LIABILITY 
Sponsor is not responsible for any incorrect or inaccurate information, whether caused by web site users or by any of the equipment or programming associated with or utilized in the Sweepstakes and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the web site. Sponsor is not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in this Sweepstakes or downloading materials from or use of the web site. If, for any reason, the Sweepstakes is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which, in the sole opinion of Sponsor, could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Internet portion of this Sweepstakes for any drawing(s) and select the winner from regular mail-in entries and Internet entries received for that drawing prior to the action taken. IN NO EVENT WILL SPONSOR, THE PURCHASE PLACE, ITS LICENSEES, THE MARKETING CENTRE, SAPIENT CORPORATION AND OR THEIR PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF INTERNET SITE www.thepurchaseplace.com OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THIS SITE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. 8. DISPUTES 
As a condition of participating in this Promotion, participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Promotion, shall be resolved individually, without resort to any form of class action, exclusively, before a court located in the City of Rapid City having competent jurisdiction, which Court shall apply the laws of the State of South Dakota without regard for doctrines of Conflict of Law. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than participant's actual out-of-pocket expenses (i.e., costs associated with entering this Promotion), and participant further waives all rights to have damages multiplied or increased. 

9. WINNERS LIST 
Winners will be notified by E-Mail as to collecting their winnings. Winners will be posted on the web site along with E-Mails sent out to non-winning participants. 

In order to permit The Purchase Place to protect the quality of its products and services, you hereby consent to The Purchase Place employees being able to access your account and records on a case-by-case basis to investigate complaints or other allegations or abuse. The Purchase Place shall not disclose the existence or occurrence of such an investigation unless required by law. 

You acknowledge that The Purchase Place service contains information, software, photos, video, text, graphics, music, sounds or other material (collectively, "Content") that are protected by copyrights, patents, trademarks, trade secrets or other proprietary rights, and that these rights are valid and protected in all forms, media and technologies existing now or here after developed. All Content is copyrighted as a collective work under the U.S. copyright laws, and The Purchase Place owns a copyright in the selection, coordination, arrangement and enhancement of such Content. The Purchase Place name and logo are trademarks of The Purchase Place. All other trademarks appearing on The Purchase Place service are trademarks of their respective owners. The Purchase Place’s partners may also have additional proprietary rights in the content, which they make available through The Purchase Place service. You may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit, any of the Content, in whole or in part, except that you may download one copy of the materials on any single computer for your personal, non-commercial home use only, provided you keep intact all copyright and other proprietary notices. Modification of the materials or use of the materials for any other purpose, including use of any such material on any other web site or networked computer environment is strictly prohibited. In the event you download software provided by The Purchase Place, the software, including any files, images incorporated in or generated by the software, and data accompanying the software (collectively, the "Software") are licensed to you by The Purchase Place. The Purchase Place does not transfer title to the Software to you. You may not redistribute, sell, decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human-readable form. 

Registration 

If you elect to register to use The Purchase Place service and/or participate in The Purchase Place Sweepstakes, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by The Purchase Place service's registration form (such information being the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it accurate. If you provide any information that is untrue, inaccurate, or incomplete, or The Purchase Place has a reasonable ground to suspect that such is the case, The Purchase Place has the right to suspend or terminate your account and refuse any and all current or future use of The Purchase Place service (or any portion thereof).

Submissions 

If at our request you send content (e.g., postings to chat, boards, or contests) or you send us creative suggestions, ideas, notes, drawings, or other information (collectively, the "Submissions"), the Submissions shall be deemed, and shall remain, the property of The Purchase Place. None of the Submissions shall be subject to any obligation of confidence on the part of The Purchase Place, and The Purchase Place shall not be liable for any use or disclosure of any Submissions. Without limitation of the foregoing, The Purchase Place shall exclusively own all now known or hereafter existing rights to the Submissions of every kind and nature throughout the universe and shall be entitled to unrestricted use of the Submissions for any purpose whatsoever, commercial or otherwise, without compensation to the provider of the Submissions.

You further acknowledge and agree that The Purchase Place shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource.

YOU AGREE TO IMMEDIATELY NOTIFY THE PURCHASE PLACE OF ANY UNAUTHORIZED USE OF YOUR ACCOUNT OR ANY OTHER BREACH OF SECURITY KNOWN TO YOU. 

Termination and Modification 

You agree that The Purchase Place, in its sole discretion, may terminate your password, account (or any part thereof) or use of the The Purchase Place service, and remove and discard any Content within The Purchase Place service, for any reason, including, without limitation, for lack of use or if The Purchase Place believes that you have violated or acted inconsistently with the letter or spirit of the Terms of Service. The Purchase Place may also in its sole discretion and at any time discontinue providing The Purchase Place service, or any part thereof, with or without notice. Subject to any rights you may have under the Sweepstakes Rules, you agree that any termination of your access to The Purchase Place service under any provision of this Terms of Service may be effected without prior notice, and acknowledge and agree that The Purchase Place may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or The Purchase Place service. Further, you agree that The Purchase Place shall not be liable to you or any third-party for any termination of your access to The Purchase Place service. 

Governing Law and Other Miscellaneous Terms 

These terms shall be governed by and construed in accordance with the laws of the State of South Dakota, without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or relating to these terms shall be filed only in the state or federal courts located in South Dakota. And you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action. If any provision of these terms shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions. This is the entire agreement between you and The Purchase Place relating to the subject matter herein and shall not be modified by you except in writing, signed by both parties. The Terms of Service will inure to the benefit of The Purchase Place’s successors, assigns and licensees.
